Executor Terms of Use

Last updated: November 4, 2026

1. Purpose

These Terms of Use, referred to as the “Terms,” govern access to and use of the Executor web service.

Executor is operated by Enzo Valvasori, a French sole proprietor trading as Coelus, referred to as “Coelus.” The service allows artificial intelligence assistants to connect to third-party services, including Gmail and Google Search Console, after the user has given explicit authorisation through the OAuth protocol.

Executor is currently restricted to the service owner and a limited group of team members or known clients expressly authorised by Coelus. It is not currently a service open to unrestricted public registration.

By accessing or using Executor, the user agrees to these Terms. Where a separate agreement with Coelus also governs use of the service, that agreement will prevail in the event of a conflict.

2. Access to the Service

Access to Executor is personal and subject to prior authorisation by Coelus. Coelus may reject an access request or withdraw an authorisation where the conditions for using the service are no longer met.

The user must have the legal capacity and, where applicable, the authority required to accept these Terms. If the user accesses Executor on behalf of an organisation, the user represents that they are authorised to bind that organisation and to connect the relevant accounts or data.

The user is responsible for the cost of their equipment, Internet connection and third-party services required to use Executor.

3. Accounts and Security

The user must provide accurate information and keep the information associated with their access up to date. Login credentials and authentication methods are personal and confidential. The user must not disclose them to an unauthorised person or allow a third party to use their access.

The user must take appropriate security measures, including protecting their devices, using strong passwords and securing connected third-party accounts.

Any loss of credentials, account compromise, suspicious connection or unauthorised use must be reported promptly to contact@coelus.fr. Coelus may temporarily suspend the relevant access to protect the service, the user or third parties.

4. Connecting a Google Account

A Google account is connected only after the user gives approval on Google’s consent screen. That screen identifies the permissions requested. Depending on the enabled features, these permissions may allow Executor to identify the account, access Gmail data, send emails or access Google Search Console data.

Permission to send emails is optional and is requested only if the corresponding feature is enabled.

The user must connect only an account that they are authorised to use. The user is responsible for ensuring that they have all necessary rights and permissions regarding the account, messages, attachments, Search Console properties and third-party data to which they provide access.

The user understands that an AI assistant connected to Executor may, at the user’s request, search for or read emails and, where the relevant permission has been granted, prepare or send messages from the user’s account. The user must issue instructions carefully and, before any important action, verify the recipients, content, attachments and scope of the requested action.

Outputs generated by an AI assistant may be incomplete, inaccurate or unsuitable. The user remains responsible for their instructions, for reviewing the outputs and for decisions or communications made through their account, except where a failure is directly attributable to Coelus.

The user may revoke access within Executor or from the connections page of their Google Account.

5. Prohibited Uses

The user must not use Executor:

6. Availability and Third-Party Services

Executor is provided as is and as available. Coelus uses reasonable efforts to maintain the operation and security of the service but does not guarantee continuous, error-free access or suitability for every purpose.

The service depends on networks, APIs, Google services, AI model providers and third-party hosting services. An outage, modification, quota restriction or withdrawal of those services may affect Executor and may be beyond Coelus’s control.

Coelus may perform maintenance, modify a feature or temporarily interrupt the service, particularly for technical or security reasons.

7. Liability

Each party is liable for direct loss caused by its proven breach.

To the extent permitted by law, Coelus is not liable for indirect loss, business interruption, loss of opportunity, loss of revenue, or harm resulting from an incorrect instruction, an unverified AI output, unauthorised use, a third-party service or an event reasonably outside its control.

The user remains responsible for the content, instructions and actions that they initiate, and for respecting the rights of persons whose data may be contained in connected accounts.

Nothing in these Terms excludes or limits liability where it may not legally be excluded or limited, including liability arising from gross negligence or intentional misconduct, personal injury, or the application of mandatory rules protecting the user.

8. Intellectual Property

Executor, its code, interface, documentation, graphic elements and distinctive signs remain the property of Coelus or their respective owners.

Authorised access grants only a personal, limited, non-exclusive, non-transferable and revocable right to use the service in accordance with these Terms. No intellectual property rights are transferred to the user.

The user retains their rights in the content and data processed through the service. The user grants only the technical permissions required to carry out their requests.

9. Personal Data

The processing of personal data, Google permissions, purposes, recipients, security measures, retention periods and deletion procedures are described in the Executor Privacy Policy.

In particular, Google user data is not sold, used for advertising or used to train general-purpose AI models. Where necessary to answer a request, relevant content may be transferred to the AI model provider configured for the assistant, under the conditions described in the Privacy Policy.

10. Suspension and Termination

The user may stop using Executor and disconnect their accounts at any time.

Coelus may suspend or withdraw access in the event of a breach of these Terms, a security risk, unlawful or abusive use, a request from a competent authority, or where the user is no longer among the persons authorised to use the service.

Where circumstances permit, Coelus will inform the user of the measure and give the user an opportunity to remedy the breach. In an emergency, suspension may be immediate.

Disconnecting an account results in deletion of tokens and related data from active systems in accordance with the Privacy Policy.

11. Changes to the Terms

Coelus may amend these Terms to reflect changes to the service, its providers, security risks or applicable rules.

The revised version will be published with its updated date. Where reasonably possible, authorised users will be informed of any material change before it takes effect. Continued use after that date constitutes acceptance of the revised Terms. If the user does not agree, they must stop using the service and disconnect their accounts.

12. Governing Law and Jurisdiction

These Terms are governed by French law.

Any dispute falls within the jurisdiction of the competent courts of Montpellier, subject to any overriding mandatory rules, including rules determining the competent court where the user qualifies as a consumer.
